These Terms of Service govern all business engagements between Klitv ("we," "our," or "us") and any buyer or prospective buyer ("you") who contacts us, requests a quotation, or places an order. By engaging with us, you agree to these Terms.
1. Products and Services
Klitv manufactures and exports three-filter parts including air filter elements, oil filter elements, and fuel filter elements compatible with major mining and power equipment brands such as CAT, Komatsu, Cummins, Perkins, and others. All product descriptions, specifications, and cross-reference numbers are confirmed in writing prior to order confirmation.
2. Quotations
- Quotations are provided free of charge and are valid for 30 days from the date of issue unless otherwise stated.
- Pricing in quotations is based on the specifications, quantities, and delivery terms stated at the time of issue.
- We reserve the right to revise a quotation if the buyer's requirements change after the quotation is issued.
- A quotation does not constitute a binding contract until a formal order has been confirmed in writing by both parties.
3. Order Confirmation
- Orders are confirmed only upon receipt of a signed purchase order or written confirmation from the buyer.
- We reserve the right to decline any order at our discretion, including orders that cannot be fulfilled within acceptable lead times or specifications.
- Changes to a confirmed order (quantity, specifications, delivery schedule) must be requested in writing and are subject to our written approval.
4. Pricing and Payment
- All prices are quoted in USD unless otherwise specified.
- Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment, unless agreed otherwise in the quotation.
- Prices may be subject to revision if material costs, freight charges, or exchange rates change materially between quotation and production start.
- We are not responsible for bank transfer fees charged by intermediary banks. All fees are the buyer's responsibility unless agreed otherwise.
5. Lead Times and Delivery
- Estimated lead times are provided at the time of quotation and are indicative, not guaranteed.
- Production begins after receipt of the deposit payment.
- Risk of loss and damage transfers to the buyer upon handover of goods to the freight carrier.
- We are not liable for delays caused by freight carriers, customs clearance, port congestion, or force majeure events including natural disasters, pandemics, or government restrictions.
6. Inspection and Acceptance
- Buyers are responsible for inspecting goods promptly upon receipt.
- Any claims for damaged, missing, or non-conforming goods must be submitted in writing within 7 days of delivery, accompanied by photographic or documentary evidence.
- Claims submitted after this period will not be accepted unless otherwise agreed in writing.
7. Returns and Warranties
- Products are warranted to conform to the specifications confirmed in the purchase agreement.
- Returns are accepted only for products that demonstrably fail to meet agreed specifications, subject to our written authorization.
- We do not accept returns for products damaged by improper installation, misuse, operation outside recommended parameters, or modification by the buyer or third parties.
- Our warranty obligation is limited to replacement of non-conforming goods or a credit note at our sole discretion.
8. Samples
- Sample orders are available upon request to allow buyers to evaluate product quality and compatibility before bulk purchase.
- Sample pricing and lead times are stated separately from bulk quotations.
- Approval or rejection of samples must be communicated in writing within 30 days of receipt.
9. Intellectual Property
All technical drawings, product designs, manufacturing processes, and proprietary data shared by Klitv remain our intellectual property. Buyers may not reproduce, share, or exploit such materials without our prior written consent.
10. Confidentiality
Both parties agree to treat as confidential any proprietary information disclosed during the business relationship, including pricing, technical specifications, and commercial terms, and not to disclose such information to third parties without prior written consent.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
- Our total liability in connection with any order shall not exceed the invoice value of the goods in dispute.
- We are not liable for indirect, consequential, incidental, or punitive losses, including loss of profits, loss of business, or loss of market.
- We are not responsible for losses arising from buyer-side installation errors, product misapplication, or use with incompatible systems.
12. Force Majeure
Neither party shall be liable for failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, government actions, strikes, pandemics, or supply chain disruptions. The affected party shall notify the other in writing as soon as reasonably possible.
13. Governing Law and Dispute Resolution
These Terms of Service are governed by the laws of the People's Republic of China. In the event of a dispute, the parties shall first attempt to resolve it through good-faith negotiation. If negotiation fails within 30 days, the dispute may be submitted to arbitration in accordance with applicable rules agreed by both parties.
14. Amendments
We reserve the right to update these Terms at any time. The revised Terms will be posted on this page with a new "Last Updated" date. Continued engagement with Klitv after changes are posted constitutes acceptance of the revised Terms.
